Lawrence J. Feller

Larry is a partner at HMB, providing counsel on day-to-day operations, transactions and joint ventures.

Larry works with entrepreneurs, privately-held companies, family offices and private investors through the entire life of their businesses and investments, from concept to planning and execution. He provides general counsel advice on transactional, tax planning and business matters with a focus on developing joint venture agreements. His clients span a variety of industries from hospitality and real estate sectors to service and manufacturing.

Experience

Dedicated to transactional work and tax planning for individuals and companies engaged in real estate activities
Matters include acquisitions and dispositions of various property types including shopping centers, office buildings, multifamily apartment buildings, hotels and raw land for development.
Advises individuals and organizations otherwise involved in real activities such as property management, asset management, leasing, construction and brokerage.
Implements joint venture agreements and capital raises for various projects including project specific capital raises and funds
Advises on legal matters incidental to capital raising activities and start-up businesses including federal and state securities laws, choice of entity, choice of jurisdiction (Delaware versus other states) and asset protection strategies
Developed a niche in the hospitality space, clients include sponsor groups that develop hotels, restaurant groups, and some of the most reputable chefs in the Chicagoland area
Designs and implements capital raises in the hospitality area, as well as drafting and negotiating partnership agreements, incentive compensation arrangements, operator contracts, management contracts and marketing contracts particular to the hospitality space.
