Job Title: Attorney - Business and Finance Group
Status: Full-time, Exempt
Hours: 1800 (minimum) client billable hours requirement; ability to service client needs when necessary

Job Summary/Scope:

This is a unique opportunity to primarily support a senior equity partner who is beginning to transition his practice and a young equity partner with a fast-growing book of business. As a member of HMB’s Business and Finance Group, the position will focus on general counsel work for larger privately held businesses and mergers and acquisitions. This is an excellent opportunity to work directly with C-level executives and management by leading complex matters, while continuing to develop and advance skill sets. The candidate must have strong academic and work credentials, excellent business acumen, the ability to relate and connect with people, strong organizational skills, be able to work independently and in groups, and a strong sense and desire to provide superior client service.

Essential Duties and Responsibilities:

  • All aspects of maintaining client relationships including:
    o Serving as the day-to-day contact person for ongoing client needs (both C-level executives and management)
    o Participating in complex transactions and growing to a lead role
    o Drafting complex agreements
    o Maintaining and organizing client documents, schedules and follow up items
  • Responding promptly and efficiently to internal and external client requests, seeking guidance from supervising partners in HMB’s Business and Finance Group as needed
  • Proactively building rapport with clients and endeavor to understand each client’s industry
  • Managing and growing client relationships

Specific Duties and Responsibilities Relating to Mergers and Acquisitions:

  • Extensive M&A transactional experience
  • Negotiating and drafting the purchase and sale agreement and ancillary transaction agreements
  • Drafting and negotiating closing documents, overseeing closings, and assisting with post-closing actions and integration planning
  • Managing and conducting legal due diligence and helping to coordinate broader diligence activities across the acquisition team
  • Managing associates, paralegals and other members of the transactional deal team

Education, Experience and Skills:

  • Juris Doctor degree; licensed to practice law in IL with strong academic credentials
  • 6 years of law firm, corporate law and M&A experience
  • Accounting/Finance background a plus
  • Strong drafting skills; written work product is effective and concise, demonstrates thoughtful, clear sequencing of ideas; presents ideas and fact patterns persuasively
  • Excellent organizational skills, detail orientated and proficient in working with charts, checklists, agendas and other project management and organizational tools

Job Title: Associate Attorney – Real Estate Group
Status: Full-time, Exempt
Hours: 1800 (minimum) client billable hours requirement; ability to service client needs when necessary

Job Summary/Scope:

The mid-level attorney will support a group of partners in HMB’s Real Estate Group, with a focus on commercial real estate transactions. The candidate will be involved in representation of owners of commercial real estate in connection with development, purchase, sale and financing of properties, as well as lenders in commercial loan transactions and landlords and tenants in connection with commercial leases. The candidate is responsible for drafting and negotiating real estate purchase and sale contracts, leases, loan documents, and closing documents, client and file management and legal research as necessary.

Essential Duties and Responsibilities:

  • All aspects of maintaining client relationships including:
    o Serving as the day-to-day contact person for ongoing client needs
    o Identifying and efficiently addressing client needs
    o Reviewing, drafting and negotiating agreements
    o Maintaining and organizing client documents, transaction schedules and related follow up items
  • Ability to coordinate and supervise complex real estate transactions.
  • Respond promptly and efficiently to internal and external client requests, seeking guidance from supervising Partners as needed.
  • Ability to take ownership of discrete projects and be able to work without direct supervision.
  • Strong written and communication skills.
  • Strong attention to detail and organizational skills.
  • Ability to work under pressure and to meet deadlines, both on own and as part of a team.

Education, Experience and Skills:

  • Juris Doctor degree; licensed to practice law in IL.
  • 5-7 years of real estate experience in a law firm setting or in-house real estate practice.
  • Strong foundation in real estate purchases, sales, financing, and leasing.
