Job Title: Associate Attorney – Business & Finance Group
Status: Full-time, Exempt
Hours: 1800 (minimum) client billable hours requirement; ability to service client needs when necessary

Job Summary/Scope:

This attorney will support a group of partners in HMB’s Business and Finance Group, with a particular focus on partners working within the banking and debt finance industry. The practice consists of representing middle market banking institutions, mid to larger sized privately held businesses, and private equity funds. While a majority of the associate’s time will be directed towards debt finance projects and transactions, the associate will also gain experience in equity finance transactions, mergers and acquisitions, and general counsel matters and opportunities.

Essential Duties and Responsibilities:

  • Maintain and organize client documents, schedules and follow up items
  • Participate in complex transactions
  • Draft complex agreements
  • Respond promptly and efficiently to internal and external client requests, seeking guidance from supervising Partners as needed
  • Proactively build rapport with clients and endeavor to understand each client’s industry
  • Conduct research; effectively and accurately communicate results and advice

Specific Duties and Responsibilities Relating to Debt Finance:

  • Represent both lenders and borrowers in complex commercial loan transactions by negotiating transactions from commencement to closing
  • Manage junior associates, paralegals and other members of the transactional deal team
  • Draft loan agreements, security agreements and other substantive loan documents
  • Assist with building a specialty finance practice within the Business and Finance Group
  • Draft articles and participate in speaking engagements to develop a niche as a thought leader within the debt finance industry

Education, Experience and Skills:

  • Juris Doctor degree; licensed to practice law in IL
  • 4+ years of law firm, corporate law and M&A experience
  • Accounting/Finance background a plus
  • Strong drafting skills; written work product is effective and concise, demonstrates thoughtful, clear sequencing of ideas; presents ideas and fact patterns persuasively
  • Excellent organizational skills, detail orientated and proficient in working with charts, checklists, agendas and other project management and organizational tools

Job Summary/Scope:

The attorney will support a group of partners in HMB’s Litigation Group, with a focus on working in complex litigation matters. Practice consists of representing private businesses, financial institutions, credit committees, D&O insurance carriers, real estate developers, landlords

Essential Duties and Responsibilities:

  • Ability to independently draft motions, written discovery and take depositions
  • Successfully argue motions
  • Assist with trials from inception to completion
  • Ability to effectively handle multiple projects and articulate legal strategies and courses of action
  • Experience in arbitration and mediation
  • Strong writing and communication skills
  • Identifying and staying on top of client needs; ownership of matters

Education, Experience, and Skills:

  • Juris Doctor degree; licensed to practice law in IL
  • At least 4 years of law firm litigation experience
  • Strong drafting skills; written work product is effective and concise, demonstrates thoughtful, clear sequencing of ideas; presents ideas and fact patterns persuasively
  • First-Chair deposition experience & Second-Chair or First-Chair Trial Experience

Reports to: Trusts & Estates Group Head

Job Summary/Scope:

The attorney will support a group of partners in HMB’s Trusts & Estates Group, with a focus on working with high net-worth clients and the administration of complex estates. Experience with tax planning and business succession is important. Successful candidate will be flexible self-starter who would enjoy being part of our collaborative team.

Essential Duties and Responsibilities:

  • Design and drafting of their estate plans
  • Consult with and advise fiduciaries in probate and trust administration
  • Work with clients in connection with contested trust and tax matters, prepare and review estate and gift tax returns (including complex reporting and valuation issues)
  • Assist clients in the establishment of private foundations and other charitable vehicles.
  • Ability to effectively handle multiple projects and articulate legal strategies and courses of action
  • Strong writing and communication skills

Job Summary/Scope:

The mid-level attorney will support a group of partners in HMB’s Real Estate Group, with a focus on commercial real estate transactions. The candidate will be involved in representation of owners of commercial real estate in connection with development, purchase, sale and financing of properties, as well as lenders in commercial loan transactions and landlords and tenants in connection with commercial leases. The candidate is responsible for drafting and negotiating real estate purchase and sale contracts, leases, loan documents, and closing documents, client and file management and legal research as necessary.

Essential Duties and Responsibilities:

  • All aspects of maintaining client relationships including:
    • Serving as the day-to-day contact person for ongoing client needs
    • Identifying and efficiently addressing client needs
    • Reviewing, drafting and negotiating agreements
    • Maintaining and organizing client documents, transaction schedules and related follow up items.
  • Ability to coordinate and supervise complex real estate transactions.
  • Respond promptly and efficiently to internal and external client requests, seeking guidance from supervising Partners as needed.
  • Ability to take ownership of discrete projects and be able to work without direct supervision.
  • Strong written and communication skills.
  • Strong attention to detail and organizational skills.
  • Ability to work under pressure and to meet deadlines, both on own and as part of a team.

Education, Experience and Skills:

  • Juris Doctor degree; licensed to practice law in IL.
  • 4+ years of real estate experience in a law firm setting or in-house real estate practice.
  • Strong foundation in real estate purchases, sales, financing, and leasing.
