Paralegal - Business & Finance 

Status: Full-time, Non-exempt (overtime over 40 hours per week) Hours: M-F, 9-5 plus overtime as required by business needs Reports to: Chair of the Business & Finance Group
Job Summary/Scope:

HMB is searching for a driven and experienced paralegal skilled in a variety of transaction and general corporate matters, including, mergers and acquisitions, venture capital and debt financing. A qualified candidate will be a self-starter that takes pride and ownership in setting and attaining goals. The Business & Finance Group is filled with entrepreneurial attorneys focused on Client Service First. The Business & Finance Paralegal will team with these attorneys to support grow general corporate work and transactions.

Duties and Responsibilities:

  • Project management
  • Transactional support
  • Entity formation and qualification
  • UCC filings
  • Preparation of organizational documents
  • New client intake of corporate records
  • Prepare and file annual reports
  • Organizational and entity ownership charts
  • Securities and other regulatory compliance and filings
  • Maintain corporate database and minute books

Education and/or Experience:

  • Minimum of 10 years law firm experience
  • Paralegal certificate
  • Undergraduate degree

Legal Administrative Assistant – Business & Finance

Job Summary/Scope:

The primary job responsibility of the Legal Administrative Assistant at Horwood Marcus & Berk is to assist and support attorneys of Horwood Marcus & Berk in completing their work.  Typically, a Legal Administrative Assistant is assigned to assist 3 or 4 attorneys.


  • Extremely well-organized with the ability to handle detailed work with accuracy.
  • Ability to multi-task in a fast-paced environment and prioritize responsibilities.
  • Team player with a strong desire to contribute to the firm’s success.
  • Professional demeanor.
  • Excellent writing and communication skills.
  • Ability to work independently and collaboratively.
  • Excellent typing skills with a typing speed of 65 words per minute.
  • Excellent proofreading skills.
  • Excellent knowledge of correct grammar, spelling and punctuation usage.
  • Proficient in Microsoft Word, Excel, PowerPoint and Outlook.

Duties and Responsibilities:

  • Preparation of legal documents and correspondence from draft or dictation to proofread final. This includes typing, styling, and cross-referencing documents.
  • Organize and maintain client files. Ensure client files are up to date and ready for quick access and reference.
  • Assist attorneys with organizing Closings, including compiling/distributing Closing Books.
  • Complete Stock Certificates.
  • Provide prompt telephone coverage, taking detailed messages in a professional and friendly manner, ensuring timely, courteous response to the caller’s requests.
  • Type and enter attorney time entries into billing system.
  • Maintain attorney schedule and calendar.
  • Maintain attorney contact lists.
  • Schedule meetings and conference calls and ensure all details are taken care of, including distributing documents for the meeting in a timely manner and coordinating food, etc. with the Office Services staff.
  • Create and prepare presentations for various speaking engagements.
  • Assist with attorney business development efforts.
  • Maintain high level of confidentiality.

Education and/or Experience:

 B.A./B.S., minimum of 5 years’ experience as a legal administrative assistant.
